The bill (Reg.
No. 9005) supplements clause 30 of the Law "On Joint-Stock Companies" with the
norm, whereby decision on using the profit of a joint-stock company for the
purposes other than dividend distribution is adopted by more than three quarters
of the total number of stock-holders.
The committee members stated that the suggested principle of passing decisions at the general meeting of stockholders "by the total number of stock-holders" contradicts the general principle of voting established by the Civil Code of Ukraine and the Law "On Stock Holders."
